Platform Terms of Service

Preamble: For Beneficiaries: These Terms of Service are agreed and form an integral part of the principal agreement between "us" and the "Taxi Park". You are granted access to the system on the basis of authorisation and access granted by the relevant "Taxi Park". Accordingly, the necessary and mandatory precondition for authorisation on the platform and any use of its interface or functionality is your ("Beneficiary's") full review of and unconditional consent to these Terms of Service. What the Platform is: This platform (hereinafter "Platform" or "we") is a technological system that allows the "User" (hereinafter "User" or "Taxi Park") to record and manage, in an automated way, its relationship with its "Beneficiaries" (hereinafter "you" / "Drivers") and the administration of settlements. Our role: The Platform operates exclusively on behalf of and on the instructions of the "User" (Taxi Park), as its commercial intermediary, specifically: a) the Platform is not the party paying your compensation — that obligation rests with the "User" (Taxi Park), with whom you are in a contractual relationship; b) the Platform does not receive, hold, or dispose of funds belonging to you or the Taxi Park in its own name; How settlement works: You use the Platform's interface on the basis of access granted by the "User" (Taxi Park). Pressing the "Request payment" button means: a) you confirm that the bank details provided are your personal bank details and are correctly entered; b) with the "User's" permission, you request payment from the "User" (Taxi Park); c) the Platform processes this request as an instruction from the "User" (Taxi Park) and technically transmits it to the servicing bank for execution. Technical restrictions: operational and technical limits To ensure the Platform's server stability, security standards, and preventive measures, when using the "Request payment" module authorised by the Taxi Park and on the Taxi Park's instructions, the following mandatory parameters apply automatically: 1. Amount limits: • Single request: minimum 1.00 GEL — maximum 500.00 GEL; • Daily limit (any 24-hour rolling period): maximum 1,000.00 GEL; • Weekly limit (any 7-day rolling period): maximum 3,000.00 GEL; • Monthly limit: maximum 9,000.00 GEL (calculated over each subsequent 30 days, Tbilisi time [UTC+4], automatically resetting every 30 days on a rolling basis). 2. Frequency (security-window) limits: to prevent unauthorised use, new transactions are subject to time-window restrictions. The number of successfully completed transfers may not exceed: • Within a 3-minute interval: 2 transactions; • Within a 5-minute interval: 3 transactions; • Within 1 hour: 5 transactions; • Within 24 hours: 15 transactions. 3. Automatic security controls: the system's algorithm will automatically block any request that exceeds the above amount or time parameters. Splitting requests into parts or repeated initiation to artificially circumvent the limits is strictly prohibited. Registration on the Platform, with the relevant "User's" authorisation, signifies the Beneficiary's full consent to the terms below: 1. Portal registration, functionality, and Service Provider status: 1.1. The Beneficiary's registration on the Platform is performed exclusively by the "User" (Taxi Park) — by entering data directly or via API integration. The Beneficiary cannot register on the Platform independently, without the User's (Taxi Park's) initiative and prior authorisation. 1.2. The Beneficiary confirms that the information about them on the Platform is accurate, complete, and up to date. The Service Provider bears no responsibility for any consequences caused by inaccurate or misleading data — including transfers made to the wrong account; if such a breach is detected, the Platform is entitled to: a) immediately notify the relevant Taxi Park and suspend the Beneficiary's access to the Platform; b) notify the User (Taxi Park) to take appropriate action and accordingly suspend the processing of pending "payment instructions" until the situation is clarified; 1.3. The Beneficiary is responsible for the security of their own authentication credentials (including one-time codes). Any action performed using authenticated access will be deemed performed by the "User" (Taxi Park), except where unauthorised access is proven to be without the fault of the Beneficiary and/or the User. 1.4. Service Provider status: 1.4.1. The Beneficiary (driver) understands that the Service Provider (the Platform) is a technological and commercial intermediary acting exclusively on behalf of and on the instructions of the User (Taxi Park). The Beneficiary agrees and acknowledges that the commission payable by the Taxi Park to the Service Provider for services rendered is deducted at each executed "Request payment" and amounts to 0.50 GEL — on the basis of the Taxi Park's instruction, this commission is automatically deducted from the amount transferable to the Beneficiary at the moment the transaction is executed. Accordingly, the Beneficiary agrees that the amount credited to their personal bank account is reduced by the commission. 1.4.2. The "Request payment" instruction initiated via the Platform is legally an operational and related legal instruction issued by the "User" (Taxi Park). The Beneficiary states and confirms that their access to the Platform derives from the "User" (Taxi Park) and constitutes a technical tool granted to them by the "User". The Beneficiary uses the Platform on behalf of the User to issue instructions. No independent legal relationship arises between the Beneficiary and the Service Provider. 1.5. Platform functionality for the Beneficiary 1.5.1. The User (Taxi Park) enables the Beneficiary, via the Platform, to: 1.5.1.1. View the "Amount Payable" reflected on the Platform on the basis of the User's API integration — an informational indicator reflecting the User's outstanding payment obligation; 1.5.1.2. Initiate, 24/7, a "Request payment" against the User and have it executed automatically — within the "Amount Payable" and the "Taxi Park Balance"; 1.5.1.3. Receive information about bonuses and incentive programs defined by the User; 1.5.1.4. Receive informational notifications about the Platform's operation, updates, and news. The Beneficiary confirms and acknowledges that: a) the "Amount Payable" shown on the Platform is an informational indicator, not funds held on the Platform; b) the "Request payment" can only be executed within the funds reflected on the "Taxi Park Balance", responsibility for which lies fully with the User (Taxi Park); c) the terms of bonuses and incentive programs are determined exclusively by the User (Taxi Park) — the Platform is responsible only for their technical display. 1.5.2. Commission deduction mechanism: the Beneficiary acknowledges and fully agrees that the commission payable by the User (Taxi Park) for use of the Platform — set out in clause 1.4.1 — is deducted by the User (Taxi Park) from the amount payable to the Beneficiary, within the "Request payment" initiated by the Beneficiary via the Platform — in accordance with the conditions predefined by the User (Taxi Park). The Beneficiary confirms that: a) the conditions of commission deduction are determined exclusively by the User (Taxi Park) — the Platform performs only the technical execution; b) this mechanism does not constitute a payment by the Beneficiary to the Platform and does not entail the Platform receiving, holding, or disposing of any funds; c) any complaint relating to commission deduction must be addressed directly to the User (Taxi Park). 2. Settlement responsibility: 2.1. Financial obligation toward the Beneficiary lies exclusively with the User (Taxi Park). 2.2. Any financial complaint about the amount or accuracy of credited funds must be addressed directly to the User. 3. Accuracy and confirmation of bank details: 3.1. The Beneficiary is responsible for the accuracy of the bank details they provide. 3.2. Pressing "Request payment" or the relevant button in the Platform's UI constitutes the Beneficiary's confirmation of data accuracy. 3.3. The Platform may temporarily suspend any operation where there is a statutory basis to do so. In such cases the Beneficiary is informed of the suspension. The complaint is addressed to the User. 4. Authorisation to use the Platform 4.1. The Platform may be used only by a person who: a) is of legal age (18 years or older); b) is registered on the Platform by the User (Taxi Park) and has access granted by the User; c) is in a current contractual relationship with the User (Taxi Park), accordingly holds a valid driver's licence, and meets other mandatory requirements set by the User (Taxi Park) for providing the relevant service; 4.2. The Beneficiary confirms that they meet the above requirements. Responsibility for ensuring compliance rests fully with the User (Taxi Park), which granted the Beneficiary access to the Platform. 5. Personal data and marketing: 5.1. The Beneficiary consents to their data being processed by the Service Provider on the User's instructions. 5.2. The Beneficiary may, at any time, opt out of receiving notifications via the Platform settings page, or by informing the User in accordance with clause 5.6; 5.3. Processed data: for the purpose of registration on the Platform and providing the service to the User, the following data is processed: a) identification data: first name, last name, personal ID number; citizenship, identity/citizenship document (passport) and/or documentation confirming lawful stay/residence in Georgia; b) contact data: phone number, email; c) professional data: driver's licence series, number, and validity; vehicle registration certificate details; d) financial data: bank account number; e) technical data: IP address, Platform activity log, transaction history. 5.4. Basis and purpose of processing: data is processed on the following bases: a) Performance of the contract between Users; b) Your unambiguous consent, expressed by accepting these terms and signing in to the Platform; c) Statutory obligation (where applicable); d) Technical support for compliance with public-law requirements imposed on the User (Taxi Park) (including migration legislation), which includes software processing of uploaded documents (including automatic text recognition / OCR) and providing compliance indicators to the Taxi Park so that the Taxi Park can independently decide on your admission. 5.5. Data transfer: your data is transferred to the User (Taxi Park) as data controller and to the servicing bank for the purpose of executing the transaction. Transfer to other third parties is only permitted in cases expressly provided for by law. 5.6. You have the right at any time to request: a) viewing of data processed about you; b) correction of incorrect data; c) deletion of data — within the limits permitted by law. The request is submitted to the User (Taxi Park), which will handle it within 10 business days. 6. Electronic form, legal force, and amendments 6.1. Electronic form: The Beneficiary confirms and agrees that: a) Consent to these terms in electronic form (ticking a checkbox, pressing "I agree", or using the Platform) is legally equivalent to a written agreement under the applicable laws of Georgia; b) Any electronic communication, notification, or confirmation made via the Platform is official communication and has full legal force; c) The Beneficiary cannot challenge consent given in electronic form solely on the basis that it was not executed in paper/material format. 6.2. Amendments: the Service Provider may unilaterally update the Platform's technical and security rules. These changes automatically apply to the Taxi Park. After notification of changes, the Beneficiary's continued use of the Platform is legally deemed acceptance of and subordination to the User's (Taxi Park's) updated rules and instructions. The Beneficiary is notified of changes via the Platform, SMS, or another communication channel. 7. Governing law and dispute resolution 7.1. These Terms are governed by and construed in accordance with the applicable laws of Georgia. 7.2. Any dispute arising from or related to these terms is subject to the jurisdiction of the Tbilisi City Court. 7.3. Before applying to the court, the Beneficiary must first submit a complaint to the User (Taxi Park) and give them 10 (ten) business days to resolve the situation. 8. Contact information 8.1. For any question, complaint, or technical problem related to these terms the Beneficiary contacts: a) For financial complaints — the User (Taxi Park) that granted you access to the Platform; b) For technical problems — the Platform at the following email: valtodrive@gmail.com; c) For personal data — the User (Taxi Park) and/or the Platform, at the following email: valtodrive@gmail.com. Warning: The Platform takes no responsibility for transfers made to incorrect bank details. Who to contact: Any complaint about the amount, timing, or accuracy of compensation must be addressed directly to the "User" (Taxi Park — specifically, to the "User" (Taxi Park) that registered you on the Platform and with whom you have a contractual relationship). The Platform is responsible only for the timely and accurate transmission of the technical instruction to the servicing bank.
